Welcome to DAPrDAN. We’re glad you’re here, and we hope you enjoy everything we have to offer.

Please read these Terms carefully because they are a binding agreement between You and SAVI Brands LLC, DBA DAPrDAN, (“DAPrDAN”, “Company”, or “We”).

These Terms govern your use of the services provided by DAPrDAN . In these Terms, the word “Services” may refer to the services offered by the Company’s personnel in the care of your property, or each of the websites and the services offered on those sites. You automatically agree to these Terms and to our Privacy Statement simply by using or logging into the websites, or by scheduling our Field Services.

Please note that we offer many services. Your use of DAPrDAN products or services are provided by DAPrDAN pursuant to a separate manually or digitally-executed agreement. Those additional terms become part of your agreement with us, if you use the Field Services or log into the websites.

1. General Terms

ONLINE QUOTE SYSTEM: The online quote system is designed to make your life easier, however it is limited to consider every possible variable of your project. The accuracy of the numbers quoted is largely dependent upon the information you provided during the assessment (which is held on record), and if there is a deviation from those numbers, we must adjust your price accordingly. Our online quote system is incapable of accounting for all possibilities beyond general service levels. All prices produced by this system are subject to change. Verification of residential property square footage is made through Zillow, Redfin, and other public records available online, and may be adjusted for accuracy to the published record without notification. It is your responsibility to verify your square footage with these services prior to contracting with DAPrDAN. Factors such as extra ladder work, heavy soiling, mineral deposits, interior access, previously damaged or worn out screens, gutters, or substrates, additional project scope or complexity, or any other factor we are unable to determine which may affect price must be taken into account, if need be, at the time of service, but before the service commences. If you suspect your project may require special consideration, we encourage you to request an onsite assessment with DAPrDAN.

The packages listed on the proposal are quoted under the assumption that the work area is generally accessible and no obstacles will prevent our field technicians from performing the assigned work (unless otherwise specified in the quote). These factors can influence the final price to varying degrees. Upon arrival, before we begin work, we will inform you if any of these factors will affect your price more than $75.00. By accepting the proposal, you pre-authorize DAPrDAN to increase the published price by an additional $75.00 (representing 30 minutes) to the work order if our field technicians must move obstacles, or in any other way prepare the work area in order to perform the selected services.

By using our online quote system you saved yourself time. You saved us fuel & time. This automated process has helped the environment. We consider that when we are making these adjustments and only do so when it is absolutely necessary and with great consideration. 2. Windows & Other Glass

TEMPERED / HEAT TREATED GLASS AND TINTED WINDOWS: By scheduling service with DAPrDAN you are automatically agreeing to release DAPrDAN from any liability for scratches to tempered, heat-treated glass and tinted windows, including both fully tempered and heat strengthened glass. Due to the widespread problems related to poor quality heat-treated glass and tinted windows, DAPrDAN will not be held liable for any scratches on any tempered, heat treated glass or tinted windows to include windows during construction cleaning of specified windows. It is accepted and understood by ALL parties that properly used razor blades and scrapers are standard tools and techniques for some windows related to the heat-treated glass and tinted window cleaning and can safely remove limited amounts of debris including silicone, plaster, paint, texture, tape, stickers, etc., from quality glass, without scratching the glass surface. Furthermore, it is accepted and understood that razor blades and scrapers will be employed on all construction-related and Premium-level window cleaning projects and no other cleaning method will be offered by DAPrDAN to remove any debris from any glass surface.

3. Roofs

Our Premium and Luxury roof cleaning processes features a soft washing technique which utilizes eco-friendly chemicals that are powerful enough to clean, yet gentle on the roof because it breaks down dirt and biological matter at low pressure (Approx. 50 PSI). This clause must be included on all contracts. If this clause is not acceptable, there is no contract between DAPrDAN and customer, or builder.

4. Holiday Lighting Services

Service Scope. We offer professional installation, maintenance, removal, and storage services for holiday lighting for both residential and commercial properties. Our comprehensive services include design consultation, professional installation, ongoing maintenance throughout the holiday season, timely removal of the lighting, and optional storage services for your convenience.

Payment Terms. The customer’s credit card must be submitted and held on record prior to scheduling. A deposit may be required prior to scheduling. Full payment is required upon completion of the installation. Acceptable forms of payment include primary bank issued debit and/or credit cards. Detailed payment terms, including storage service fees, will be provided in your service agreement.

Cancellation Policy. To cancel or reschedule service, please provide at least 48 hours' notice. Cancellations made less than 48 hours before the scheduled service may incur a cancellation fee, as detailed in your service agreement.

Warranty. We guarantee our workmanship. Should any lights fail during the holiday season due to installation issues, we will replace them at no additional charge, according to the conditions outlined in your service agreement.

Removal and Storage. All holiday lighting installations must be removed by March 31st of the following year, or within 90 days of installation, whichever is sooner. If you prefer to extend the display of your holiday lighting beyond this date, a signed release of liability must be provided to DAPrDAN, releasing us from any liability for damages or injuries resulting from extended display. Our storage services are available for those who wish to have their holiday lighting safely stored until the next season.

5(a). Membership Program

Recurrence. The Member has expressed interest for a recurring schedule of DAPrDAN's services. DAPrDAN has included special pricing based on the following scenarios: Services to be delivered (1) Monthly, (2) Every Other Month, (3) Quarterly, (4) Tri-Annually, (5) Bi-Annually, (6) Annually, and payments to be made (1) Annually In Full, or (2) Monthly Financing.

Payment & Renewal. The price for a single Membership Plan participant the first year and each recuring 12-month period is $179.00 plus tax. Membership Plan participants must provide a valid credit card to be held on file with DAPrDAN (Visa, Mastercard, Discover, AMEX) . The Members credit card will be processed in accordance with the payment frequency selected at the time of registration, and upon the renewal anniversary. Members may add one-time services at a discounted rate of 10% off the regular price service. One-time services will be charged to the credit card on file upon completion of the service. Participants may cancel at any time by submitting their request in writing to support@daprdan.com. Membership plans auto-renew every 12-months on the first day of the month the service plan agreement was certified as signed by all parties. No refunds will be issued for partial use prior to the end of a 12-month period.

Minimum Requirements, Qualifying & Supporting Services. Qualified Membership Plans must meet the following thresholds: (A) Minimum annual spend of $2,500 after all applied discounts, and (B) Minimum of 1 Qualifying service recurring 2 times in a 12-month period. Qualifying services include roof cleaning, gutter cleaning and window cleaning. Supporting services include all other services offered by DAPrDAN. Supporting services must be scheduled in accordance with a Qualified service appointment.

Membership Discounts. In some circumstances, a Member may receive up to 30% off regularly prices services. Membership Plan participants receive a minimum of 10% off the regular published price of DAPrDAN’s services at the time of scheduling. Regular price is calculated prior to any promotional discounts. If a promotion, or any other available discount is greater than 10%, the greater discount will be awarded to the Membership Plan participant. Frequency discounts are awarded to the specific Qualified service according the following schedule within a 12-month period:

10% Discount : 2x/Year
15% Discount : 3x/Year
20% Discount : 4 to 11x/Year
25% Discount : >12x/Year

Supporting services are awarded a flat 10% discount regardless of frequency. Members who elect to pay annually in advance receive an additional 5% off the total service plan. Payment discounts are calculated using the discounted service price. Breakeven ROI for Membership Plan participants is generally $1,790 spent per each 12-month period.

Member Benefits. DAPrDAN Members have access to the following benefits: (A) Priority phone support, (B) Online Service Portal, (C) Monthly Financing, (D) Saturday Service, when available, (E) Priority Scheduling, (F) Extended Contractor Network, (G) Compounding price discounts on Qualified services, (H) Discounted supporting services, and (I) Dedicated account representative.

Cancellation. DAPrDAN agrees to contract its services to the Subscriber in good faith. By reserving labor resources for your project we are making a good faith promise to deliver the services and standards outlined in the Subscriber Agreement provided by DAPrDAN. In turn, we expect the Subscriber to respect our good faith effort to meet their target outcomes, namely the services and corresponding values identified in the line items of this proposal, and thereby protect DAPrDAN from any losses of income as a result of a change of schedule executed by the Subscriber within 3 days of scheduled production. All communications regarding cancellation should be made in writing with corresponding time stamp and emailed to subscriptions@daprdan.com. Either party may cancel this agreement at any time, for any reason. No refunds shall be issued for Annual or Monthly Payment plans. Upon cancellation Monthly Payment plans will be assessed to determine the total non-discounted value of services provided to the customer and the total of customer payments applied toward the plan. Any amount owed to DAPrDAN up to the date of written notice of cancellation will be charged to the customer's card on file.

Other Considerations. All prices in this proposal represent work conducted free of unforeseen obstacles. In the event DAPrDAN encounters obstacles beyond its control, DAPrDAN reserves the right to adjust pricing to cover additional costs if the actual scope of work is substantially more than estimated due to a change of conditions at the project site since the time this proposal was submitted. DAPrDAN will always make every reasonable effort to complete each project within the quoted amount and notify you in advance of any price adjustments. By signing this agreement you are agreeing to the terms of this agreement.

5(b). Loyalty Program

Loyalty Plan Participant. Participation is available to all qualifying individuals 18 years of age and over. DAPrDAN reserves the right to refuse participation to any applicant and participation is revocable without cause. Participation is subject to any and all rules adopted by DAPrDAN including our privacy policies and practices, and they may be amended from time to time without notice.

Participation and Fees. Membership fee is for one twelve (12)-month period from the date of enrollment of the designated participant. Participation may be terminated at DAPrDAN’s discretion. Benefits of your participation are not transferable. Limit one Loyalty Plan participant per household or business.

Payment, Renewal and Cancellation. The price for a single Loyalty Plan participant the first year and each recuring 12-month period is $99.00 plus tax. Loyalty Plan participants must provide a valid credit card to be held on file with DAPrDAN (Visa, Mastercard, Discover, AMEX) . The participants credit card will be processed following completion of services, and upon the renewal anniversary. Participants may cancel at any time by submitting their request in writing to support@daprdan.com. No refunds will be issued for partial use prior to the end of a 12-month period.

Loyalty Discounts & Benefits. Loyalty Plan participants receive a minimum of 10% off the regular published price of DAPrDAN’s services at the time of scheduling. Regular price is calculated prior to any promotional discounts. If a promotion, or any other available discount is greater than 10%, the greater discount will be awarded to the Loyalty Plan participant. Breakeven ROI for Loyalty Plan participants is $1,000 spent per each 12-month period.

6. Security, Workdays, Accessibility

SITE SECURITY: All DAPrDAN employees wear uniforms that distinguish them as personnel identified to provide cleaning and maintenance services; all employees wear identification badges displaying the company and individual technician's name. All technicians on duty are annually background checked and verified to be free of criminal record and free of habitual drug use. SAVI Brands LLC, DBA DAPrDAN maintains all required licensing, bonding and insurance in order to protect the customer's interest in the unlikely event of loss.

WORK DAYS: All work is conducted during regular business hours which include Monday through Thursday, 8:00am to 6:00pm, excluding nationally recognized holidays. DAPrDAN Members may elect to schedule services on Fridays and Saturdays, 9:00am to Noon. Friday and Saturday bookings are limited to availability and are not guaranteed.

ACCESSIBILITY: All work areas located at the customer site must be made accessible on the dates scheduled for service. Any delays of productivity beyond the control of DAPrDAN due to compliance to the customer's standards, or conditions created by the customer shall be billed above and beyond the service quotes listed in this proposal in the amount of $150.00/hour/technician.

CREDENTIALS: DAPrDAN is licensed, bonded and insured in Washington state. We are insured as a general contractor with a $2,000,000 liability policy, and maintain a $12,000 general contractor's bond. We are licensed with the Washington Secretary of State as SAVI Brands LLC, DBA DAPrDAN. We are an accredited member of the Better Business Bureau, and maintain a 5-star rating at all widely recognized customer advocate organizations.

7. Payment

INVOICING / PAYMENT TERMS / PRIVACY: Invoice(s) are emailed and/or texted to the designated Member point of contact. All invoice emails contain a link to make secure electronic payment. Invoices are due upon receipt and are processed to the card on file according to the payment plan selected (Annual billing, Monthly billing). A 2.0% late fee may be charged to the payment card on file if, for any reason, payments are received later than 7 days following the date of service. All quoted prices may be subject to increase by 10% annually to cover increasing costs of business. DAPrDAN requires all Members to submit a debit, or credit card for electronic payment as a condition of acceptance of this service agreement. Payment card details are retained in an encrypted digital file with the processing company and are inaccessible to our administrative staff. DAPrDAN charges a one-time setup to organize and structure your plan in our service calendar, and an equal annual renewal fee to compensate for 12-months of administrative costs. The initial setup is due upon signing your Home Maintenance Subscription. The renewal is due on the first of the month of the anniversary of your signing date. All Monthly subscription payments are applied to the card on file and run on the 1st of the month; Payments for Annual subscriptions are run initially upon signing and each year thereafter on the 1st of the month the agreement was signed. 8. Your Use of our Websites

Please do not use our websites in a way that violates any laws, infringes on anyone’s rights, is offensive, or interferes with the Sites or any features on the Sites (including any technological measures we employ to enforce these Terms).

It should be common sense, so we won’t bore you with a list of things you shouldn’t do. But if we (in our sole discretion) determine that you have acted inappropriately, we reserve the right to take down Content, terminate your account, prohibit you from using the websites, and take appropriate legal actions.

Using our websites does not give you ownership of any intellectual property rights to the content you access. You may not use content from our websites unless you obtain permission from us or its owner, or unless you are otherwise permitted by law.

When you use a website or send communications to us through a website, you are communicating with us electronically. You consent to receive electronically any communications related to your use of a website. We may communicate with you by email or by posting notices on the website. You agree that all agreements, notices, disclosures and other communications that are provided to you electronically satisfy any legal requirement that such communications be in writing. All notices from us intended for receipt by you shall be deemed delivered and effective when sent to the email address you provide to us. Please note that by submitting Content, creating a user account or otherwise providing us with your email address, postal address or phone number, you are agreeing that we or our agents may contact you at that address or number in a manner consistent with our Privacy Statement.

9. Our Warranties and Disclaimers

We provide our Services using a commercially reasonable level of care and promise to do our best to make sure you enjoy the Services. But there are certain things that we don’t promise about our Services.

OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OF SERVICE, NEITHER SAVI BRANDS LLC, DBA DAPrDAN NOR ITS AGENTS OR SERVICE PROVIDERS (THE “SERVICES ENTITIES”) MAKE ANY SPECIFIC PROMISES ABOUT THE SERVICES. FOR EXAMPLE, WE DON’T MAKE ANY COMMITMENTS ABOUT THE QUALITY OF THE FINISHED SERVICE, THE SPECIFIC FUNCTION OF THE SERVICE, OR IT’S RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS. WE PROVIDE THE SERVICE “AS IS”. TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES.

10. Liability for our Services

EXCEPT WHERE PROHIBITED, THE SERVICES ENTITIES SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE COMPANY’S SERVICES OR ANY THIRD PARTY’S USE OF THE COMPANY’S SERVICES. THESE EXCLUSIONS INCLUDE, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOST DATA, PROPERTY FAILURE, OR THE VIOLATION OF YOUR RIGHTS BY ANY THIRD PARTY, EVEN IF THE SERVICES ENTITIES HAVE BEEN ADVISED OF THE POSSIBILITY THEREOF AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY UPON WHICH THE CLAIM IS BASED.

11. Additional Details

We may modify these Terms at any time so be sure to check back regularly. By continuing to use a Service after these Terms have changed, you indicate your agreement to the revised Terms. If you do not agree to the changes, you should stop using the Services.

The websites may contain links to third-party websites. That doesn’t mean that we control or endorse those websites, or any goods or services sold on those websites. Similarly, the websites may contain ads from third-parties. We do not control or endorse any products being advertised.

If you do not comply with these Terms, and we don’t take action right away, this doesn’t mean we’re OK with what you did, or we are giving up any rights that we may have (such as taking action in the future).

These Terms are governed by and construed in accordance with the laws of Washington, without regard to its conflict of laws rules. You expressly agree that the exclusive jurisdiction for any claim or dispute under these Terms and or your use of the Services resides in the courts located in King County, Washington, and you further expressly agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such claim or action. If it turns out that a particular provision in these Terms is not enforceable, that will not affect any other provision.

SAVI Brands LLC, DBA DAPrDAN accepts and responds to any requests such as disclosure, correction, addition, or deletion and veto of use or provision of personal information (the “Disclosure Requests”) from the person who provided his/her personal information.
